Cryptocurrency-related Experience • Assisted in advising a HK licenced trust company operating a crypto-custodian business on a day-to-day basis on its various cryptocurrency-related projects, shareholding arrangements and other operational matters, including:  assisted in advising the company on the issuance of a stablecoin backed by USD (current market cap at US$2billion) in collaboration with a leading (tier-1) international cryptocurrency exchange, including advising on deal structure which includes (i) a partnership, (ii) issuance of a warrant to a subsidiary of the exchange entity, (iii) issuance of a call option to a subsidiary of the exchange entity over the entire share capital of a subsidiary of the parent company and (iv) custody of fiat reserves and negotiating and revising transaction documentation;  assisted in advising the company as custodian of the issuances and/or proposed issuances of real world asset (RWA) tokens (with the RWAs including real estate (a multi-storey commercial building in HK), a painting by a renowned artist, and precious metal (gold)), including in (i) reviewing and advising on the deal structure, (ii) preparing legal opinions analysing the nature and characteristics of the relevant tokens on their legal character under the Securities and Futures Ordinance, (iii) preparing the relevant subscription agreements; and  assisted in the intra-group restructuring of the company with its 13 affiliate group companies/subsidiaries. • Assisted in advising on the issuances and/or proposed issuances of cryptocurrencies (including non-fungible tokens (NFTs) and including in the form of ICO and IEO), including preparing legal opinions analysing the nature and characteristics of the relevant tokens on their legal character under the Securities and Futures Ordinance, preparing investment documentation e.g. subscription agreements and simple agreement for future tokens (SAFTs). • Assisted in advising a high-profile early Bitcoin and Bitcoin Cash promoter/investor (US$430m net worth) on his arbitration conducted in the HKIAC regarding his US$250m deposits and/or investments with a cryptocurrency exchange, including (i) assisting in the general arbitration process, (ii) preparing a detailed case theory for internal circulation explaining the various products offered by the cryptocurrency exchange which involves a highly complicated inter-connection between its cryptocurrency futures market, spot market, repo market and its yield-bearing stablecoin and (iii) commenting on the expert report regarding these topics. • Assisted in advising a lending business on its proposed business of (i) providing stablecoin loans to borrowers with RWAs (real estate) as collateral and (ii) operating a DeFi lending protocol on its proposed business of providing stablecoin loans to borrowers with RWAs as collateral, including the legal implications of the proposed businesses. • Assisted in advising an insolvent company which operated a centralised crypto-lending business (during 2019-2022) in its proposed activity in trading cryptocurrencies with its existing holdings to bring the company back to solvency based on its terms and conditions and existing legal framework. Corporate Finance | M&A | Investment Funds • Assisted in advising on the following equity and debt financing projects (among others), including conducting negotiations, due diligence process and preparing relevant transaction documentation:  Assisted in advising an individual lender on the provision of a revolving credit facility of US$2.3m to a corporate borrower secured by all the assets of the borrower;  Assisted in advising a corporate borrower in obtaining a bridge loan of RMB425k from an individual lender on the condition that its sole shareholder commits to invest HK$50m for a 10% equity interest in an investment vehicle; and  Assisted in advising a fintech company on its seed-round equity fundraising of US$660k. • Assisted in advising on the following M&A transactions (among others), including conducting negotiations, due diligence process and preparing relevant transaction documentation:  Assisted in advising the sellers on the sale of the entire issued share capital of a tech company for US$2m; and  Assisted in advising on the sellers of a health and well-being group on the sale of the entire issued share capital of the parent company for HK$1.25m. • Assisted in the establishment of private equity investment funds in the Cayman Islands under the Exempted Limited Partnership (ELP) and Segregated Portfolio Company (SPC) structure
