Legal And Compliance Counsel; Data Protection Officer
Amanda is involved in work with respect to all aspects of the structuring, establishment and operation of private investment funds (including offshore funds and the Singapore Variable Capital Companies) and family offices. Her practice includes advising on early and growth stage private equity fundraising and venture deals, including FinTech, FinReg and cryptocurrency related matters, such as blockchain technology, staking, DeFi and token-related matters. Her practice also includes corporate commercial matters, corporate secretarial, regulatory licensing and compliance issues including personal data protection.
Prior to moving in-house, Amanda was an associate at two of Singapore’s top-ranked law firms, and has represented and/or advised her clients on various commercial, investments funds, family offices and regulatory matters. She has worked with asset managers, fund management companies, banks, private equity firms, portfolio companies, cryptocurrency exchanges and brokers on various financial regulatory matters ranging from licensing and prospectus requirements to ongoing compliance obligations under the Banking Act 1970, Financial Advisers Act 2001, Payments Services Act 2019, Financial Services and Markets Act 2022, and the Securities and Futures Act 2001 of Singapore.
Some of her work highlights include: (i) assisting a BVI asset manager with the structuring and establishment of three quant trading funds based in the Cayman Islands; (ii) assisting a Singapore private client brokerage in its post-FTX actions in relation to the termination and wind down of the master-feeder Bitcoin and Ethereum Funds, including the payment of pro-rated proceeds from the sale of the FTX bankruptcy claims to investors; (iii) advising Casio Computer Co. Ltd. on various matters in relation to copyright infringement, privacy and data protection issues pertaining to generative Artificial Intelligence; and (iv) advising FOMO Group on its acquisitions of 2 financial services firms to secure a Capital Markets Services (CMS) licence and a Recognized Market Operator (RMO) licence.
Amanda has collaborated with multiple stakeholders, service providers and external counsels in various jurisdictions based in the Cayman Islands, Jersey, BVI and Taiwan. From the setup, KYC onboarding of investors and maintenance of funds to coordinating board meetings with offshore directors and asset managers. She has also assisted in the conduct of compliance training webinars on anti-bribery and corruption, employment laws and data protection laws of Singapore to international companies and banks.
Amanda has also represented underprivileged individuals in various pro bono matters (such as the Criminal Legal Aid Scheme) and legal clinics for matters relating to wills, conveyancing (including landlord and tenant disputes) and probate. She has been a member of the Law Society of Singapore Publications Committee for three consecutive years and has actively contributed to the committee’s publication, the Singapore Law Gazette.
