Independently built the legal function for the venture capital arm from scratch, formulated the legal strategy for investment activities, created guidelines, processes, and templates. Established and coordinated a high-performing network of external advisors. Served as a trusted adviser to executive leadership on legal and regulatory risk, governance, and compliance matters. Successfully closed 70+ venture capital transactions across the US, EU, UK, Switzerland, Singapore, and offshore jurisdictions. Lead all stages of transactions, including negotiations, legal drafting, due diligence, and closings. Supported investments in 10+ venture capital funds, reviewed key documentation (LPAs, PPMs, subscription documents), negotiated side letters, and ensured completion of fund KYC requirements. Worked extensively with a broad range of VC transaction documentation, including Term Sheets, Share Purchase Agreements, Subscription Agreements, Articles of Association, Shareholders’ Agreements, SAFEs, Convertible Loan Agreements, NVCA-based agreements, Token Warrants, SAFTs, Side Letters and related instruments. Developed expertise in global crypto regulations (e.g., SEC, MiCA, FCA), led regulatory due diligence on crypto projects and worked closely with portfolio companies to navigate complex compliance challenges. Oversaw a massive portfolio of 150+ investments across multiple jurisdictions. Ensured Cyber Fund’s rights were protected during all corporate actions such as follow-on financing rounds, exits, secondary sales, token issuances, restructurings, liquidations, SAFE conversions, and similar corporate actions.
