Web3 Legal Counsel

Paxful is searching for a Legal Counsel who is great at legal matters, contracts, disputes and litigation and regulatory guidance to join our Legal Team. This role will Provide key legal advice to all Estonian related teams and projects.You will be based out of Tallinn, Estonia and report to our General Counsel

As a key member of our team, your responsibilities will entail:

• Legal Matters: Ability to take ownership and responsibility over legal matters involving Estonian office.
• Contracts: Handle and vet all contract negotiations
• Disputes and Litigation: Manage, maintain and revise all company legal templates and policies to ensure the business remains compliant and efficient. Manage user-facing legal issues, including compliance, Terms of Service violations, subpoena requests and other operational needs
• Regulatory Guidance: Draft and negotiate commercial transactions (confidentiality and non-disclosure agreements, MOUs, consulting agreements, etc.) with counter parties, customers, vendors and contractors
• Review and revise global marketing materials in collaboration with our Marketing and PR colleagues
• Work directly with internal business units providing day-to-day advice and resolving issues that arise, including our global Customer support team (CCX)
• Manage, maintain and revise all company legal templates and policies to ensure the business remains compliant and efficient
• Manage user-facing legal issues, including compliance, Terms of Service violations, subpoena requests and other operational needs
• Provide on-going legal counseling in intellectual property, data protection and security, labor and employment, general corporate and regulatory compliance
• Provide Estonian corporate secretarial coverage including preparation and maintenance of corporate documents such as meeting minutes, resolutions, bylaws and entity formation and structuring for our Estonian entities
• Develop and manage client relationships within a high-energy, fast-paced, team-oriented environment while contributing to and fostering positive team morale and collaboration
• Coordinate with US-based Legal team members to ensure goals and work product are aligned with overall strategy

The most important skill and capabilities for this role are:

• Licensed to practice law in Estonia
• Experience with cross-border/international work, capable of covering a range of issues across our global offices and multiple time zones
• Demonstrated track record of providing strategic direction around multiple projects and with competing priorities
• Excellent contract and document drafting demonstrating an exceptional level of business savvy and sophistication
• Juris doctor (US) or Master’s Degree in Law with strong academic credentials from a respected ABA (US) or locally accredited institution
• Demonstrated ability to work efficiently and manage multiple projects in a fast-paced work environment
• Unwavering attention to detail and accuracy with uncompromising honesty and integrity
• Strong negotiation skills with the ability to influence
• Fluency in Estonian and/or Russian and full working proficiency in English.

Target Experience:

• Minimum 5 years’ experience with a prominent law firm and/or in-house corporate department of an international organization
• International operations experience.
• Cryptocurrency and/or peer-to-peer finance experience
• In-house technology (e.g. website based platforms) and product development experience
