The Worldcoin Foundation is an early yet crucially important initiative in the Worldcoin ecosystem. We are a small and independent team with ambitious goals and great impact. The founding team pays a lot of attention to legal and regulatory matters. We expect the legal function to be one of the essential parts of the Worldcoin Foundation.

About the Opportunity:

This is a unique role offering significant responsibility, high impact, and growth potential within a complex global Web3 initiative. The Legal Counsel will manage the Foundation’s corporate matters, oversee the work of outside counsel, advise on regulatory matters, and will work with external providers and partners. At the same time, the Legal Counsel will help steer Worldcoin’s progressive shift to community governance and decentralization.

As a result, the role requires strength in traditional in-house corporate practice, but the ability to apply that foundation in the context of novel considerations distinct to the emerging Web3 / digital assets field, as well as the reality of an early organization: work in a multijurisdictional setting, projects related to digital assets, building frameworks for bootstrapping community involvement and decentralization, manage external relationships (including contractual and IP matters), ensuring regulatory compliance, strategic partnerships with other ecosystem participants; and gradual transition of traditional corporate responsibilities to the community. We are still a small team, so expect to perform individual contributor work. In this role, you will:

• Administer Foundation’s Board and other corporate governance activities.
• Structure Foundation’s transactions (including those involving digital assets) in a contractually sound and regulatorily safe manner.
• Ensure robust management of the Foundation’s intellectual property.
• Negotiate and structure external relationships, both with ecosystem actors (including grant recipients) and external providers.
• Manage local counsel in several jurisdictions to secure clear, actionable input in an efficient and cost-effective manner.
• Identify and know when to seek support on key regulatory issues (e.g., securities, payments, money transmission, data protection, sanctions/export controls, AML/KYC, tax).
• Advise on the legal aspects of treasury management and token economics matters.

About You:

• Must have excellent academic credentials and be a qualified lawyer in good standing with eligibility to practice in your jurisdiction (preference for an EU country, the UK, or the US).
• 4+ years of post-law school experience working as an attorney, including solid BigLaw experience.
• Previous experience guiding cross-border and multi-jurisdictional commercial enterprises, especially in FinTech or start-ups.
• Hands-on approach and early organization experience.
• Solution-oriented.
• A leader capable of defining an agenda and ensuring it gets done on time and efficiently, along the way demonstrating judgment, practicality, resourcefulness, proactivity, and attention to detail.
• Excellent written communicator, able to present complex legal issues clearly and concisely, whether extemporaneously via messaging protocols, in emails, or in memoranda and other more formal documents.
• Affinity for program management and using technology solutions to help scale processes, and comfort with GSuite applications.
• Demonstrated interest in blockchain technology, Web3, cryptocurrency and digital assets.
• Extensive experience living, working, traveling, or practicing law internationally, and ability to travel regularly.
• Fluency in English is a must.
• Positive collaborative attitude, comfort with change and a fast pace, high level of integrity, and intellectual curiosity.
