Web3 Head of Transactions

As Head of Transactions for Binance.US, you’ll be a trusted partner to the CEO, General Counsel, Chief Financial Officer, Chief People Officer, Head of M&A and each department head. You will handle internal issues that are critical to the company’s continued success. This is a great opportunity for someone to take on considerable responsibility and use your experience in all aspects of working as in-house counsel for a cutting-edge fintech company.
What You'll Do

• LEGAL LEADERSHIP
• Developing and implementing frameworks for complex issues like cryptocurrency compensation and
• International operations
• Investigating R&D IP and legal matters that align with our global, remote, and distributed mission, vision, and roadmap
• Being on point for the legal aspects of our corporate transactions and M&A activities
• CORPORATE MATTERS
• Working on transactions, including serving as an advisor and coach to business units
• Corporate structuring including global entity strategy development and implementation
• Corporate governance review & policy best practices
• EMPLOYMENT MATTERS
• Supporting employment negotiations and answering relevant legal questions
• Addressing employment matters, including implementing policies and guiding compliance
• STREAMLINING OPERATIONS
• Responsibility as the front-line contact for the business on a day-to-day basis for legal issues and requests
• Project managing multiple complex cross-functional workstreams
• Interface with and optimize expert external counsel

What You'll Need

• Track record of demonstrating good judgment
• Creative approach to solving challenging problems
• Bachelor’s degree in a related field; JD from an accredited U.S. law school
• Admission to the bar in the state in which you will practice
• Commitment to abiding by local, state and federal laws, along with commitment to ethical behavior
• 5 - 10 years of experience at a corporation known for excellent culture and strong ethics
• Experience working with the Board of Directors and the corporate governance process
• Proven track record of learning and adapting quickly, thinking rigorously, and working proactively and independently
• Strong critical thinking, interpersonal, and public speaking skills
• Desire to create robust, responsive legal processes that balance the need to protect a company with the necessity of moving quickly in a startup
• Adept at critical thinking & analysis of risk as well as pragmatic approach to mitigation and management of risk
• You have solid deal experience including fundraising and financing, venture, corporate development, mergers & acquisitions, and deal structuring
• Keen attention to detail and passion for getting things right
• Ability to communicate and empathize with business, engineering, and legal colleagues alike
• Excellent writing skills
• Bonus Points
• Experience running an IPO process
• You’re interested in and and comfortable with technology
• You have in-house experience at a high-growth fintech company
• You have global tax experience or knowledge
