Web3 Legal Counsel, Emerging Markets

As Legal Counsel, Emerging Markets you’ll support Blockdaemon’s blockchain infrastructure business as we expand worldwide. In this role, you will interact directly with the regional business and company leadership as you help us navigate the legal and regulatory frameworks relating to the staking business as well as our expansion into key international markets. You will also be a key contributor to the legal team and to the company as a whole, with the opportunity to work on a wide array of legal matters, including: complex commercial arrangements; corporate governance; M&A activities; intercompany structuring; employment, equity, and compensation matters; and partnering with the compliance team to ensure regulatory compliance of new and existing products. Position Overview:

• Provide legal guidance to Blockdaemon’s staking business in the European, Middle East, Africa region (EMEA) and emerging markets, including counseling regarding the development and implementation of blockchain infrastructure technology, especially relating to the proof of stake form of consensus, financial technology services and decentralized finance (DeFi).
• Keep up-to-date on regulatory and policy developments involving staking, blockchain and digital assets generally; advise on country-specific regulatory requirements, including strategic and legal advice for new products or features.
• Work with the Compliance team to manage all non US regulatory matters (e.g. permits, licenses, registrations), and to adapt any required company policies and procedures to ensure compliance with local rules and regulations.
• Support international corporate governance and tax matters, such as global mergers and acquisitions (M&A), restructuring, international entity formation, intercompany operating agreements, regulatory filings, board and shareholder actions.
• Support international commercial transactions; liaise with the global legal team on negotiation playbooks and contract processes.
• Continuously assess operating risks and ensure that the legal team is equipped and positioned to provide outstanding support as our international business continues to grow.

Experience Requirements:

• Lawyer/solicitor in good standing with 8+ years PQE, qualified in the United Kingdom, Ireland or will consider other applicable licensure for the right candidate.
• Experience working in a financial services institution, fintech company, financial services regulatory authority, or relevant experience within a major law firm.
• Strong familiarity with European regulatory frameworks (AMLD5/VASP, PSD2, 2EMD and/or MiFID II, MiCA) and broader financial services regulations.
• Deep experience advising multi-national organisations on complex global matters, commercial transactions, and partnering with compliance, risk and other control functions to deliver coordinated advice to internal stakeholders.
• Ability to provide holistic, clear and practical legal advice on a broad range of matters with limited supervision.
• Resourcefulness. You solve problems, including non-traditional or undefined problems, creatively and analytically. You can calibrate a room of peers and/or stakeholders to achieve alignment.
• Sound judgment and composure in high-pressure situations; display discretion and integrity in all interactions.

Exceptional candidates will have:

• Experience advising on crypto or blockchain matters.
• Experience working with emerging technology companies, especially advising on SaaS or technology infrastructure matters.
• Attorney / solicitor in good standing (or licensed) in other jurisdictions such as the U.S. or APAC.
