Since 2014, the mission-driven team at the Stellar Development Foundation (SDF) has helped fuel the growth and utility of the Stellar blockchain network. Developers and companies around the world build on it, and the SDF team is expanding to support the rapidly growing and changing Stellar ecosystem.

SDF is seeking a corporate attorney with a strong background in a variety of commercial matters, including financing transactions and debt and equity investments.

As a member of the legal team, you will support and work directly with a wide range of business teams at SDF including the investments, liquidity, business development, finance, and ecosystem teams. You will have the opportunity to work alongside a team of talented attorneys and policy professionals in a fast paced-industry, with a supportive and friendly company culture, advising on some of the most exciting and innovative legal issues in blockchain technology, digital assets, and global payments.

In this role, you will:

• Draft, negotiate, and manage a diverse portfolio of commercial agreements for a growing organization, including debt and equity investments, secured and unsecured financings, and other bespoke commercial transactions
• Support the Investments team in drafting and negotiating equity and debt investments into global startups and other FinTech companies building on the Stellar blockchain
• Support SDF’s participation in, and investment into, accelerator programs in strategically important geographies around the world
• Provide comprehensive legal support to the Finance team on initiatives relating to capital markets, liquidity support, and treasury management
• Scope and conduct legal and regulatory due diligence of potential transactions and counterparties
• Provide legal, regulatory, and compliance advice to support novel partners and projects building on Stellar, including advising on issues relating to money transmission, AML/CFT compliance, sanctions compliance, cross border payments, securities and commodities laws, cryptocurrencies, CBDCs, and blockchain technology (don’t worry - we can help you upskill in these areas!)
• Develop operational processes and tools to empower SDF to move quickly, while mitigating risks and maintaining a commitment to compliance
• Manage outside counsel and work directly with SDF executives on strategic initiatives

You have:

• At least 5 years of relevant law firm and/or in-house experience, preferably focusing on blockchain, financial technology, or financial services
• Significant experience representing lenders in financing transactions and investors in early-stage investments
• Excellent problem-solving, judgment, communication (written and oral), and interpersonal skills
• Ability to present complex legal issues in a clear and concise manner and to provide succinct, practical, and results-oriented legal advice
• Ability to effectively organize, prioritize, and manage diverse and time-sensitive projects
• Ability to thrive and innovate in a fast-paced, dynamic industry
• Sound business judgment, intellectual creativity, and a willingness to navigate a rapidly evolving legal and regulatory environment
• A team player with a “go-getter” attitude, ready to jump into projects (both large and small) to help the organization succeed
• A J.D. and active membership in at least one U.S. state bar. Must be a US-based attorney.
