About the role

Toronto-based or North America-based, full time or part-time.

Horizon Blockchain Games is looking for our 1st hire for our upcoming functional team: Legal. The candidate will join either as a ‘Director of Legal’ or ‘In-house counsel’. They will be responsible for all matters related to legal internally, and will work with our external law firms as needed. The candidate would join at Director level, work with all functional teams and report directly to the CFO.

We’re looking for an enthusiastic and brilliant lawyer to help us manage the operational aspects of the company. You will have ownership over legal reviews of new products and features, our geographical roll-out strategy (countries, and specific US states), education of our team on legal considerations, and being on top of relevant regulatory changes that might affect our considerations about our business model.

In this role, your decisions carry weight and will help define the future of the company. You will be working with very dedicated people who share excitement and a common vision for the democratization of web3 and bringing blockchain to the mainstream. The team, along with our investors – the best in the world (Initialized, DCG, CMT Digital, Bitkraft, Consensys and more) – are ecstatic to be addressing this market opportunity in creating blockchain games and infrastructure.

The candidate may assist on broader finance topics, and will have the ability to learn from and take on regulatory, compliance, and public policy work streams. As an early hire, you will have an incredible opportunity for career growth.

You will:

• Work closely with key senior members as well as the leadership team (CEO, CFO, Head of Design, Director of Product, Game Designer etc.) on a daily basis
• Work closely with the Product team, and CFO to construct our product strategy
• Run product legal reviews and legal review of all new product features from a holistic legal perspective, thinking about securities law, consumer law, IP, data protection considerations
• Potentially coordinate with external lawyers to review specific legal questions or questions relevant to specific jurisdictions upon completion of a holistic review of the product/feature Draft and maintain our various internal and external policies such as Terms or Use for our products, and other internal policies (e.g., employee trading policies)
• Run legal reviews of our external communication to players, and users
• Answer questions from the team and provide legal guidance to the team on ad hoc topics, e.g., refunds, players complaints
• Prepare/coordinate preparation of appropriate contract templates for external marketing effort with influencers, grant contracts with external partners within our ecosystem
• Plan recurring training or sessions to educate our team on legal matters, e.g., a “lunch and learn” session 2-4 times a year on a specific legal topic

Areas of responsibility

• Any legal aspects related to our business model, operations and products
• Corporate law — fundraising, equity management, board resolutions
• Transactional law — reviewing and drafting contracts
• Employment law — owning offer letters and all employee agreements, policies, and issues
• Intellectual property — supporting the engineering team regarding IP ownership and building software in an open-source environment
• Cross-functional thought partner — being involved with the CFO on all legal, regulatory, and policy matters and owning more as the company grows

Qualifications and Requirements

• All levels will be considered.
• Title and responsibilities will adjust to your experience.
• Minimum 3 year of experience at a top law firm specializing in the technology or financial industryJ.D. from a top 20 law school
• A willingness to take on considerable responsibility and intellectual challenges
• Deep interest in crypto, web3 and blockchain
• You are a highly experienced legal generalist with experience in tech
• You are a go-getter – you have an entrepreneurial spirit and act proactively
• You are impact oriented – you have the ability to take a macro perspective and grasp the details
• Outstanding team player – you have strong interpersonal and teamwork skills
• Meticulous – you have a keen eye for detail and are quality-orientedInterested in continuous learning and have a growth mindset as you will be dealing every day with topics and questions which are new to you

Nice to have (though definitely not required)

• A previous role in-house at a tech, finance, or cryptocurrency companyAny experience in compliance, finance, accounting, or computer science (even classes in school)
