Web3 Senior Director, Global Tax

Compensation: $42k - $87k estimated

Ripple is seeking a Senior Director to join Ripple’s Tax function and the growing Ripple organization. This position reports to the VP of Global Tax and will interface daily with personnel of various cross functional teams including Sales and Product Marketing, XRP Markets, Corporate and Business Development, Finance, Legal and Regulatory Compliance, and HR. The candidate will be expected to independently identify and surface issues, research and develop recommendations, implement solutions, and generally exercise sound business judgment to resolve problems and achieve business objectives. The Senior Director will be responsible for reviewing and dispensing tax advice and recommendations in respect of customer software contracts, treasury related cryptocurrency investments and trades, strategic M&A transactions and VC related investments, and internal restructuring and expansion transactions. The Senior Director’s responsibilities will also include working with the other members of the Ripple tax team to co-develop and implement global tax planning and tax mitigation strategies, monitoring developments and changes in tax laws, engaging in tax-lobbying related activities, and providing technical advice to the Head of Tax Compliance and Tax Provision on tax accounting methods, tax reporting requirements, and tax audit and controversy matters.

WHAT YOU'LL DO:

  • Support the RippleNet sales and product team by reviewing transactions (including contracts) to identify and advise of tax considerations, negotiate tax relevant contract clauses, and/or develop and implement other solutions. Issued and considerations may include timing and character of income, deductibility versus capitalization of expenses, withholding taxes including negotiation of tax gross-up clauses, resolving tax residency documentation matters, and addressing of tax withholding risk and information reporting obligations.
  • Support Ripple’s XRP Markets Team by advising on tax aspects of crypto transactions and similar investment products including spot trades, lending of crypto, staking and yield-farming transactions, hedging transactions, and other similar transactions. Considerations may include timing and character of income, gain, loss, or expenses, mitigation of withholding taxes, assessment of permanent establishment risks, tax efficient trade funding and profit repatriation strategies, and identification of book-tax differences.
  • Support Ripple’s Corporate and Business Development Teams by reviewing and providing tax advise on strategic M&A transactions, strategic alliances, investment partnerships, and similar transactions. Investments may include U.S. and non-U.S. common stock, preferred stock, SAFEs, SAFTs, SAFTEs, and limited partnership interests. Considerations may include debt vs equity, funding alternatives and section 351, section 305 issues, ECI or permanent establishments, CFC and PFIC analysis and risk mitigation. Tasks may include review and comment on term sheets and review of definitive transactional documents, tax-related investment due diligence, and tax structuring.
  • Support internal Ripple initiatives which may include legal entity, operational, or business line reorganizations and/or expansions, new product developments and rollouts, and internal process improvements and efficiency initiatives.
  • Internal tax planning which includes researching and developing tax planning strategies to manage Ripple’s ETR, develop and document key tax positions on material transaction, assist with inter-company service agreements and transfer pricing documentation, and from time-to-time draft PLRs and other letter ruling requests.
  • Provide tax technical support to the Head of Tax Compliance and Tax Provision with respect to Ripple’s tax provision and tax return process.
  • Follow developments in U.S. and non-U.S. tax laws and regulations related to Ripple’s business and vision to identify tax risks and planning opportunities.
  • Manage and work closely with external tax advisors engaged to support and assist with the foregoing.

WHAT WE'RE LOOKING FOR:

  • 12+ years of tax experience in a corporate tax department, law firm and/or global accounting firm.
  • Strong foundation of tax technical knowledge with experience evaluating and advising on US and international business initiatives. Experience advising on tax matters related to cryptocurrency, fin-tech, and/or financial services companies is highly preferred.
  • Deep knowledge of Subchapter C taxation, taxation of investments and financial products, US international tax provisions and concepts including section 367, FDII, GLITI, Subpart F, FTCs, permanent establishment, tax withholding and information reporting is a highly preferred.
  • Proven self-starter capable of working independently and comfortable and confident with taking complete ownership of projects and areas of responsibility.
  • Strong organizational, effective time management and prioritization skills in managing multiple projects in an unstructured environment; comfortable with and capable of quickly adapting to changes in priority.
  • Thoughtful and creative problem solver that can think strategically and tactically and has a proven ability to forge strong collaboratively working relationships with peers in other functions.
  • Excellent communication skills to effectively communicate tax advice and recommendations to cross-functional team members, upper management, and outside advisors/consultants.
  • Flexible, open, curious, and inquisitive mindset; genuine passion for cryptocurrency/blockchain and innovative technologies and products is a big plus.
  • Ideal candidate will be innately team-oriented yet comfortable flying solo, earnest but not dour, a confident advisor yet measured and cautious. A sense of humor is a must.
  • JD/LLM in Tax preferred (but not necessary)
