About Somnia:

We are building Somnia, a fast and cost-effective EVM-based blockchain, to achieve this. Somnia is a layer-one blockchain with full EVM compatibility, capable of processing over 1,000,000 transactions per second with sub-second latency and low fees. This will unlock a new wave of on-chain applications. Initially, we are focusing on gaming, metaverse, and social experiences. But we are not even 100% certain of what can be built with the technology we are creating.

Somnia is being developed by Somnia Foundation backed by Improbable, a British start-up that has been at the forefront of building virtual worlds for over a decade. Somnia received initial funding from MSquared, which raised $150 million in funding from a16z crypto, SoftBank, Mirana Ventures, CMT Digital, and SIG.

About the Role:

We’re seeking an experienced Web3 Attorney to advise on the full spectrum of legal and regulatory matters across our blockchain ecosystem. This role will be central to shaping Somnia’s ongoing legal framework, from validator operations and governance to commercial partnerships and compliance strategy.

Reporting directly to the COO, you’ll work closely with the executive team, product, and external counsel to ensure our operations, contracts, and token-related activities remain compliant with evolving global regulations. This is an opportunity for a forward-thinking attorney who thrives in ambiguity, understands the nuances of blockchain law, and wants to help define the legal foundation of a next-generation Layer 1 network as it scales post-TGE.

Key Responsibilities:

  • Advise on all legal aspects of Somnia’s Web3 operations, including validator agreements, staking mechanics, token emissions, and governance.

  • Draft, review, and help negotiate a variety of agreements (Investors, commercial, SaaS, IP licensing, validator, vendor, and partnership agreements).

  • Monitor and interpret emerging regulations and enforcement trends in key jurisdictions related to crypto assets, securities, and AML/KYC compliance.

  • Provide guidance on ongoing token compliance, secondary-market activity, and treasury management.

  • Collaborate with internal teams to ensure new products, integrations, and ecosystem initiatives align with global regulatory standards.

  • Manage relationships with external counsel and coordinate on complex cross-border or regulatory matters.

  • Develop and maintain internal legal policies, templates, and processes to support scalability and risk management.

  • Advise the executive team and board on regulatory risks, enforcement exposure, and strategic opportunities within the evolving blockchain landscape.

Requirements:

  • J.D. or equivalent law degree with active bar membership (U.S., BVI, Cayman, U.K., or comparable jurisdiction).

  • 10-15 years of legal experience, with at least 3 years focused on blockchain, digital assets, or fintech.

  • Strong understanding of securities laws, token classification frameworks, AML/KYC, and data protection regulations.

  • Experience advising on token launches, DAO or validator structures, or Web3 ecosystem partnerships preferred.

  • Proven ability to navigate ambiguity, think creatively, and balance legal risk with business goals.

  • Excellent contract drafting, negotiation, and communication skills.

  • Entrepreneurial mindset and comfort operating in a fast-paced, early-stage environment.

  • Passion for blockchain technology and belief in its potential to redefine digital economies.
