Web3 Regulatory Counsel

Grayscale Investments is seeking a mid-level attorney to serve as its Regulatory Counsel and support the Grayscale’s broker-dealer and registered investment advisor businesses and expansion plans.

The Regulatory Counsel will be deeply involved in building, establishing and maintaining the infrastructure for Grayscale Securities, LLC and Grayscale Advisors, LLC. This includes their various policies, procedures, processes and committees that will enable Grayscale to comply with its regulatory obligations. The counsel will also be expected to engage with SEC, FINRA and internal stakeholders as Grayscale’s regulated entities grow their private placement, public quotation, ETF and ETP business lines.

The Regulatory Counsel should have minimum 4 years’ experience in a New York law firm financial institutions group, broker-dealer, registered investment adviser or regulatory agency or self-regulatory organization such as FINRA or NYSE.

Responsibilities:

  • Understand the priorities, legal and regulatory needs of SEC and FINRA-registered broker-dealers and investment advisers
  • Along with other key stakeholders from Compliance, Operations and Finance, lead in responding to regulatory correspondence and examinations
  • Along with other key stakeholders from Compliance, Operations and Finance, lead in the establishment and maintenance of processes, systems and infrastructure that will enable Grayscale’s regulated businesses to comply with various regulatory reporting, disclosure and financial and operational requirements
  • Participate in project plan management for Grayscale’s regulated businesses, including but not limited to structuring of newly regulated entities
  • Contribute to the drafting and maintenance of written supervisory procedures and other policies, procedures and processes, both internal and external.
  • Knowledge of SEC and FINRA rules on advertising, marketing and other communications
  • Stay up to date on SEC and FINRA rules, guidance and interpretations that impact the business and share with keys stakeholders
  • Work with and manage outside counsel, legal and billing
  • Interact and work with finance, accounting, compliance and operations team and service providers as regulatory obligations and internal controls expand

Prior Experience/Requirements:

  • JD from a top-tier law school
  • 4+ years’ experience, including at least 1 year in an in-house legal department covering commercial transactions and operating contract management tools.
  • Interest in digital currency and blockchain technology
  • Advanced MS Office skills including MS Word and Excel
