We’re proud of our deep crypto expertise and work closely with individual and institutional investors as they explore this asset class as part of their portfolio allocation.Position Summary Grayscale Investments is seeking a mid-level Capital Markets Paralegal to support our securities, corporate governance and capital markets function, with a primary focus on SEC reporting and registration statement filings. This role works closely with in-house counsel, outside counsel, Finance and Compliance to ensure the company's public disclosures are accurate, complete and filed on time. The ideal candidate has hands-on experience preparing and coordinating 10-Ks, 10-Qs, 8-Ks and registration statements (S-1s/S-3s), combined with strong project management skills to keep multiple filing workstreams moving in parallel. Responsibilities SEC Reporting

Coordinate the end-to-end preparation, review, and EDGAR filing of periodic reports (Forms 10-K, 10-Q, 8-K) and registration statements (Forms S-1, S-3, and related amendments/prospectus supplements) Build and maintain the company's SEC filing calendar, tracking statutory deadlines, internal review cycles, and sign-off requirements across Legal, Finance and outside counsel Draft, format, proofread and "tie out" disclosure documents against source data (financial statements, footnotes, exhibits, XBRL tagging); manage exhibit lists, incorporation-by-reference checklists and certifications for each filing Track and manage shelf registration statement eligibility and compliance

Capital Markets Transactions

Support execution of capital markets transactions, including the continuous offerings by exchange traded funds (1933 Act registered exchange listed funds) Assist with updating and assembling registration statements and prospectus supplements Prepare and maintain closing checklists, signature pages, officer's certificates, and closing sets for offerings Coordinate the due diligence process with underwriters, auditors, outside counsel, and other third parties Assist with roadshow logistics, board/pricing committee approvals, and post-closing filing obligations

Corporate Governance

Assist with preparation of board and committee meeting materials, resolutions, minutes and consent actions Maintain corporate records, entity charts, and subsidiary governance documentation Support the annual shareholder/investor meeting process, including proxy-related materials, where applicable

Project Management & Process

Own the project management of complex, multi-workstream filings (e.g. setting timelines, assigning tasks, tracking open items and driving cross-functional teams to meet regulatory deadlines) Identify process inefficiencies in the filing lifecycle and implement improvements, templates and checklists

Required Qualifications

Bachelor's degree and/or paralegal certificate from an ABA-approved program (or equivalent experience) 4–7 years of corporate/securities/capital markets paralegal experience at a law firm, public company, or financial services/asset management firm Direct, hands-on experience preparing, coordinating, and filing 10-Ks, 10-Qs, 8-Ks, and registration statements (S-1/S-3) via EDGAR Hands-on experience supporting capital markets transactions (e.g., registered offerings, follow-ons, ATM programs, or private placements), including closing mechanics and due diligence coordination Demonstrated project management experience with the ability to independently manage complex filing timelines involving multiple stakeholders and hard deadlines Working knowledge of Section 16 reporting, Rule 144, and general public company disclosure obligations Exceptional attention to detail, including the mechanical aspects of drafting, and discretion with confidential/material non-public information Strong written and interpersonal communication skills Strong organizational skills, including maintenance of checklists, with the ability to multitask and prioritize competing, deadline-driven workloads Ability to work independently with limited supervision, while knowing when to escalate, and to collaborate effectively within a team

Preferred / Nice to Have

Proficiency with disclosure/filing platforms (e.g., Workiva, Donnelley Active Disclosure) and board management platforms (e.g., Diligent Boards, Boardvantage) Advanced MS Office skills, including Word, PowerPoint, and Excel Familiarity with AI tools to support legal workflow and efficiency Prior experience at a crypto, fintech, or asset management company, or exposure to digital asset products We are an equal opportunity employer and value diversity at our company.
