Department Overview
The Legal Department works closely together to provide the lending, trading, derivatives and custody businesses with prompt and effective professional advice to support their activities throughout the U.S. and the globe. The Legal Department’s responsibilities include the following:
- Regular communication with business, compliance, onboarding and operations personnel.
- Prompt response to business and resulting document production.
- Providing counsel and guidance on various strategic initiatives, including new licensures domestically and abroad.
- Contract management and template refinement.
- Keeping abreast of regulatory and market developments as well as developing policies and procedures to reasonably ensure compliance with such.
- Responding to civil and governmental subpoenas. Managing litigation, arbitrations and criminal and regulatory actions and investigations.
- Overseeing corporate legal structure and organization as well as establishing and maintaining sound corporate governance practices.
- Participating in various industry committees and maintaining relationships with our primary regulators.
Primary Responsibilities
- Draft trade confirmations and generally provide real-time support for the derivatives desk.
- Draft and negotiate ISDA master and trading documentation as well as spot trading agreements, triparty control agreements or other custody agreements, confidentiality agreements and ancillary agreements; some coverage / contribution to lending, custody and/or prime brokerage businesses may also be necessary.
- Coordinate with compliance personnel and provide regulatory legal advice in connection with all markets activities and products regarding Dodd Frank Title VII, securities law, foreign regulations and tax considerations.
- Manage documentation process, working closely with both onboarding and counterparties.
- Develop and implement administrative systems, policies and procedures for growing legal department.
- Consider new technologies in the space and issues affecting related business.
- Assist response to subpoenas, discovery demands and related requests.
Requirements
- J.D. or L.L.M. from an accredited U.S. law school, qualified to practice law in New York, in good standing
- 2 to 5 years’ experience, preferably in-house at a large financial institution or top law firm, with insight into broker-dealers, investment managers or banks.
- Knowledgeable or intellectually curious about the digital asset class.
