Responsibilities

  • Serving as the key point of contact within Legal for the equities and tokenized securities product line, taking charge of Binance's legal needs and obligations for tokenized securities and stock trading products and services, and coordinating with other Legal teams (such as Commercial, Corporate, Regulatory, Data Privacy, Litigation, etc.) and cross-functional teams (such as Compliance, Risk, Marketing, Business Development, Customer Support, Tax, etc.)
  • Facilitating product development through the full product life-cycle (i.e. design, launch, ongoing advisory, etc.), identifying and mitigating Legal risks specific to tokenized securities and traditional financial instruments
  • Advising on product compliance with relevant regulations across multiple jurisdictions, including managing and working hand-in-hand with Binance's regional Legal and Compliance teams and, where necessary, external counsel, on matters such as licensing and approval applications, product restrictions, compliance requirements (i.e., AML/CFT) and other related topics
  • Advising on regulatory compliance and implementation, with a focus on securities and financial instruments regulation as well as digital assets regulation
  • Drafting, amending, and/or negotiating existing or new product-centric terms and commercial contracts, including brokerage agreements, tokenization agreements, trading terms, and partner contracts, and preparing templates with a view to mitigating risk
  • Advising on product-related marketing, announcements and social media campaigns, ensuring compliance with financial promotion and advertising rules applicable to tokenized securities
  • Advising on client complaints and disputes alongside litigation colleagues, including matters related to tokenized securities and equities trading
  • Managing relationships with internal and external stakeholders and coordinating with colleagues across jurisdictions and time zones
  • Working with and advising cross-functional teams (e.g. Marketing, Business Development, Customer Support) to drive user acquisition and retention for equities products
  • Keeping up-to-date with industry/market trends and research on product-centric regulatory issues, particularly at the intersection of tokenized securities, traditional equities, and digital assets
  • Anticipating new ideas and identifying legal issues for Binance in the end-to-end planning and execution process for equities and tokenized securities products on Binance's ecosystem
  • Supporting licensing initiatives and other internal projects related to tokenized securities and stock trading
  • Developing creative solutions to meet current and evolving business needs
  • Knowledge sharing — delivering training and creating internal guidance for colleagues within and outside of Legal
  • Managing engagement of external counsel in line with internal policies and procedures

Preferred Qualifications:

  • Qualified lawyer with a minimum of 8–10 years of experience in a law firm, financial services firm, or a fast-paced technology company
  • Strong experience in equities, securities, and stock trading products — candidates with a traditional finance background who have overseen equities/stock products at a brokerage, investment firm, exchange, or financial institution are strongly preferred
  • Deep knowledge of securities and financial instruments regulation, including experience with brokerage licensing, securities trading rules, and financial market infrastructure
  • Confidence in engaging with senior stakeholders and delivering trusted, commercially minded legal advice
  • Ability to effectively multi-task and prioritize across stakeholders/business units
  • Experience in product counseling on privacy, data protection, intellectual property, or technology transactions/litigation would be advantageous
  • Demonstrates a hands-on and proactive attitude and the ability to work independently in managing complex projects
  • Ability to work collaboratively with cross-functional business teams and maintain relationships with the necessary regulatory and compliance stakeholders
  • Strong team player with business acumen and excellent communication skills
  • Keen interest in the crypto world and digital assets markets — experience bridging traditional finance with tokenized securities or crypto/Web3 is a plus
