CoinList is hiring a Web3 Senior Product Counsel, Lending
Location: CA San Francisco, California, United States
CoinList, one of the fastest growing crypto financial platforms, is where the best crypto projects in the world build their communities. We support the full lifecycle of crypto projects, from token sales through token distribution, trading, lending, and crypto-specific services such as staking and access to decentralized-finance opportunities. We've helped projects like Filecoin, Blockstack, and Algorand get off the ground and helped crypto enthusiasts by facilitating more than $1.2 billion in crypto trades. We are the crypto platform for the smartest users in the crypto space. Our customer base includes validators, miners, founders, CEOs, crypto funds, and their principals. We are backed by top-tier investors with offices in SF, NY, and the British Virgin Islands. We are just getting started.
CoinList has a dynamic legal team that serves an integral function in supporting the company’s expanding corporate needs and product initiatives. We are growing our lending business and need a leader to assess and improve our current practices and recommend strategies for advancing our lending products both domestically and abroad. As part of the team, you would apply your background in crypto lending to scale a growing product line for the company. You would be responsible for all the legal needs of the CoinList lending platform such as contract drafting, legal disclosures, and federal and state regulatory obligations. In addition, you would be responsible for managing the commercial and other needs of CoinList’s staking and governance offerings. Importantly, you must be able to work independently and own your workflow.
This is a full-time position located in SF, NY, or remote.
Who you are:
- You’re excited about cryptocurrency and understand the mechanics for movement. CoinList’s mission is to help the best crypto companies and their communities succeed. We’re incredibly excited by the power of distributed ledger technology, and you should be too.
- You’re able to navigate complex legal requirements in the US and abroad. You are admitted to the bar in the US and have 7+ years legal experience focused on lending practices in the US and abroad. You have an understanding of the hurdles in offering crypto assets in the US and a demonstrated ability in managing international legal initiatives.
- You advance business ideas even in uncertainty. Rather than hedge on tough issues, you have an opinion. In a space that is still being defined, you are able to find creative paths forward, balancing practical conservatism with a creative approach to problem solving.
- You are self-sufficient. You thrive when you are able to work independently to get to the right result quickly. Your good judgment allows you to report on the progress that you’ve made rather than wait to be told what to do.
- You pitch in, no matter the task. CoinList is a small and nimble team of professionals. We all work together to create success. You love that you can contribute to the whole, and no task is too small for you to own.
Core Focus:
- You’ll refine our legal lending processes and apply your expertise. CoinList’s lending product is an ever-changing product with a high growth rate. You will need to be able to quickly assess and recommend refinements to our current product offering and execute on those recommendations. You will be tasked with perfecting a security interest in digital assets, securities, and equipment (including UCC filings or international equivalents including fixed and floating charges.)
- You’ll drive our international lending initiatives. CoinList is expanding swiftly, and you will be the go-to person for our international lending endeavors. You will be charged with standing up new lending offerings for CoinList in a compliant way. You will drive regulatory filings, negotiate contracts, and advise business leaders on complex legal issues. Whatever needs to get done, you will be the person pushing this part of the business forward.
- You’re a strategic negotiator and will creatively problem solve. You will negotiate all types of agreements: NDAs, lending agreements, swap agreements, facility and service agreements, side letters, and unique one-offs. From figuring out how to structure a new lending offering, to brainstorming on a complex corporate issue, you will need to think creatively to navigate the changing waters of the crypto ecosystem. Each day you’ll expand your knowledge and solve problems that no one has had to grapple with before.
- You will shape our staking and governance offerings. CoinList seeks to offer first-of-their-kind staking and governance products. You will be integral in establishing the commercial relationships necessary to make these offerings a reality and bringing these products to market.
- You’ll create the future. Crypto is a far bigger deal than most people realize, and at CoinList you will be at the forefront of it. There are all sorts of technical challenges you’ll be working through and new questions you’ll have to answer, in partnership with founders for the leading crypto projects across the globe. If you’re successful, you’ll build something the world has never before seen.
Relevant Background:
- You are admitted to the bar in the US and have 7+ years legal experience in handling financial services lending transactions in the US and abroad.
- You have experience counseling product teams in launching lending products and have a clear understanding of the legal structure and regulatory underpinnings of both secured and unsecured lending, recourse and non-recourse structures, and parent guarantees.
- You are familiar with a variety of financial instruments (e.g., securities, commodities, derivatives), including lending, trading, custodial and non-custodial management of assets, and settlement of those instruments.
- You have a strong background in digital currency, blockchain technology, and decentralized finance. You get extra points for familiarity with custodial and non-custodial management and settlement of digital assets.
- You are familiar with the global laws and regulations and agencies associated with overseeing lending.
