Position Summary:
Grayscale Investments is seeking an experienced attorney to serve as its Product Counsel and support its growing suite of investment products. The Product Counsel will be deeply involved in strategy, initial offering, development and maintenance of Grayscale’s crypto asset products, which may include single asset trusts, thematic investment products, and private funds.
Responsibilities:
- Launch Grayscale’s next generation of digital asset investment products and services by drafting fund documents, including private placement memoranda, operating agreements, and subscription materials.
- Develop and maintain Grayscale’s existing product suite by preparing and reviewing annual, quarterly and current reports (i.e., 10-Ks, 10-Qs and 8-Ks).
- Advise on the legal and regulatory requirements of private funds and SEC-reporting investment vehicles.
- Maintain up-to-date and consistent prospectuses and offering memoranda.
- Stay up to date on SEC rules, guidance and interpretations that impact the business.
- Work with and manage outside counsel.
- Respond to regulatory correspondence.
- Coordinate with Grayscale’s ETF, finance, distribution, accounting and operations teams and service providers.
Prior Experience/Requirements:
- JD from a top-tier law school.
- 3-5 years of experience in a New York law firm capital markets or investment management practice, or in-house at an asset manager.
- Experience with drafting periodic reports, such as annual reports on Form 10-K, quarterly reports on Form 10-Q, and current reports on Form 8-K.
- Experience working with drafting Fund offering documents, including private placement memoranda and limited partnership agreements.
- Basic knowledge of cryptocurrencies and their legal and regulatory implications (preferred).
- Experience working with SEC’s Division of Corporation Finance, T&M and/or IM (preferred).
- Experience with SEC filings and working with commercial printers (e.g., Donnelly, Merrill).
- Advanced MS Office skills including MS Word, PowerPoint, and Excel.
- Strong attention to detail, including mechanical aspects of drafting.
- Strong research skills and an inquisitive mindset.
- Multitasks and manages/prioritizes workload to meet aggressive deadlines.
- Analytical thinker that can work independently in a fast-paced environment.
- Strong interpersonal and communication skills.
