We’re proud of our deep crypto expertise and work closely with individual and institutional investors as they explore this asset class as part of their portfolio allocation.Position Summary:Grayscale is seeking a Senior Counsel, Securities to serve as a senior member of our Legal team, with responsibility across corporate governance, securities law, and cross-product advisory. This is a hybrid role: the right candidate will bring deep expertise securities, capital markets and governance matters while embracing the opportunity to apply those skills in the fast-evolving world of crypto investment products. The role is highly cross-functional, partnering closely with Finance, Accounting, Product, Compliance, IR, and Communications, and reports directly to the Chief Legal Officer. Responsibilities:

Lead preparation, review, and filing of SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 reports, and registration statements. Advise on corporate governance, including board and committee support, insider trading compliance, beneficial ownership reporting, 10b5-1 plans, and D&O matters. Support securities law aspects of capital markets transactions, financings, and strategic commercial partnerships, working closely with internal teams and outside counsel to enable business growth. Partner with internal stakeholders (Finance, Accounting, IR, Comms, Product, Compliance) to ensure accurate and timely public disclosures and investor-facing communications. Monitor and advise on changes in securities regulation, stock exchange rules, and crypto-related developments; implement best practices and update internal policies. Oversee and manage outside counsel, providing strategic and cost-effective guidance. Serve as a trusted advisor to the Chief Legal Officer and senior leadership, balancing legal risk with business priorities in a dynamic and evolving regulatory environment.

 Prior Experience/Requirements:

JD from an accredited law school; admitted to and in good standing with at least one U.S. state bar. 10+ years of legal experience across securities law and corporate governance, including time at a leading law firm and in-house at a public company. Strong background in public company reporting, securities disclosure, and capital markets transactions. Proven ability to operate at the intersection of legal, business, and regulatory considerations. Exceptional communication and leadership skills, with ability to influence stakeholders across all levels. Comfort working in a high-growth, entrepreneurial environment where building new processes and structures is the norm.
