As Blockdaemon’s Senior Corporate Counsel, you’ll lead corporate governance for Blockdaemon’s blockchain infrastructure business as we expand worldwide. This is an exciting opportunity to play a leading role in the expansion of a market leading business in a dynamic industry.
This role will lead the corporate governance projects including financing and equity. You will also be a key contributor to the legal team and to the company as a whole, with the opportunity to work on a wide array of legal matters, including: corporate governance; intercompany structuring; employment, equity, and compensation matters; M&A activities; and partnering with the people team and generally provide advice to different teams to ensure global regulatory compliance.
You Will
- Lead international corporate governance, restructuring, international entity formation, intercompany operating agreements, tax matters, securities and regulatory filings, and corporate records management;
- Support the Board of Directors by preparing Board and committee materials, drafting minutes and providing guidance on corporate governance and compensation matters.
- Manage corporate secretarial, governance and other legal matters relating to domestic and international subsidiaries.
- Draft and maintain board approvals, shareholder approvals, stock certificates, stock ledgers;
- Perform due diligence and reviewing and drafting documentation for M&A and other corporate or investment transactions.
- Support the building out of our public company policies, practices and processes.
- Assist with special corporate projects, including financing initiatives and compliance, as well as strategic and M&A transactions (including legal due diligence and closings)
- Handle employment matters and inquiries from internal employees, contractors, customers, vendors, and outside counsel;
- Collaborate with cross functional teams including People, Finance, Operations
- Support business operations to enable compliance across the firm with contract terms and regulations, including identifying new procedures;
- Continuously assess operating risks and ensure that the legal team is equipped and positioned to provide outstanding support as our international business continues to grow.
You Have
- Juris Doctor degree and active law license in at least one state in good standing.
- Minimum of five years of experience in-house at technology companies or law firms
- Minimum of two years experience as a corporate and securities attorney, either in-house or at a law firm (preferably for a Delaware C Corporation)
- Ability to build strong, collaborative relationships and to manage internal disputes regarding approach
- Be a doer that can meet deliverables on time in an evolving, high growth or start-up environment
- Technical knowledge of blockchain and applicable accounting rules including those relating to revenue recognition a plus
- Experience providing practical advice and counsel on employment law issues including hiring, discipline, terminations, leave, accommodations, compensation, and benefit programs a plus
- Familiarity with Google G-Suite, Docusign, Linksquares or other contract management tools is a plus
US salary range: $180,000 - $250,000
