Duties & Responsibilities: Senior Legal Counsel, KAIO
Implement KAIOâs legal and compliance strategy based on strategic goals provided by KAIO CEO and the KAIO Board â focusing on deal execution across jurisdictions, empowering KAIO to scale confidently as the most trusted institutional RWA platform in Web3.

¡    Own the Company legal strategy in alignment with company growth, product innovation, and jurisdictional expansion as provided by the KAIO CEO and KAIO Board.

¡    Providing legal input as requested to the KAIO CEO, KAIO Board and other departments.Â
¡    Report directly to the KAIO CEO on all legal and related matters.Â
¡    Maintain KAIOâs legal risk register.

¡    Lead regulatory engagement and compliance across multiple jurisdictions as required (e.g., MAS and CIMA).

¡    Follow emerging legal frameworks in crypto, RWA tokenization, and financial services.

¡    Manage licensing, filings (in collaboration with the operations team), and execute entity structuring in accordance with direction from the KAIO CEO and KAIO Board.Â
¡    Support business development, partnerships, and procurement with contract drafting and negotiation as requested.

¡    Work closely with Product, Engineering, and Marketing to ensure new launches and campaigns meet compliance obligations.

¡    Draft and maintain standard T&Cs, privacy policies, disclaimers, and customer agreements (as needed) across KAIO products.
¡    Manage board governance, board and shareholder resolutions, and entity management.

¡    Oversee employment law matters including offer letters, severance, disputes, and independent contractor frameworks.

¡    Review as requested and if required protect and enforce KAIOâs intellectual property, including via trademarks, patents, and content licenses.

¡    Lead relationships with external counsel and advisors; negotiate and manage fees.

¡    Maintain the legal operations system (contract lifecycle, document management, e-signature, etc.).

¡    Implement (as requested) playbooks, templates, and approval workflows to streamline internal legal processes.

¡    Alongside the groupâs data protection officer, review and access GDPR compliance and work closely with engineering/security on data governance policies.Â
¡    Manage (alongside the key stakeholders) any open disputes.

Experience & Background
¡    Qualified lawyer (common law or equivalent) with 8â12 years PQE, ideally combining law firm and in-house experience within Web3, blockchain, or fintech sectors.
¡    Proven expertise in crypto regulation, RWA (Real-World Asset) tokenization, and/ or digital asset compliance across multiple jurisdictions.
¡    Strong background in corporate governance, entity structuring, and cross-border legal management.
¡    Experienced in commercial contract drafting, tokenized product structuring, and advising on digital asset transactions and partnerships.
¡    Familiar with data privacy (GDPR, PDPA), information security, and intellectual property issues in decentralized environments.
¡    Skilled at managing external counsel and developing legal operations systems to support scaling businesses.
