Are you a transactional attorney looking to focus on startups in the crypto industry and work remote with no billable hours expectation?
My client, a remote-only boutique corporate firm, is looking for an experienced transactional attorney. Should be 2+ year' experience, with some experience on transactional side.
The firm’s practice serves mostly startups and early-stage companies. They serve most of their clients as “Fractional General Counsel”, meaning they are responsible for handling everything that comes up in the normal course of business. One would be involved with organizing and documenting new entities, corporations and LLCs, documenting their initial relationships (shareholders, developers, employees, customers), setting up Terms of Service and Privacy Notices on websites and apps, reviewing and drafting NDAs, stock option agreements, subscription agreements and a host of other documents. One will also deal with disciplines that are unique to the clients, some examples of which are blockchain technology, privacy, AI and cryptocurrency, securities, privacy rules, consumer protection laws, a smattering of tax issues, IP issues and issues surrounding tech contracts. Associates are given immediate exposure to substantive tasks and we pay very careful attention to the mentoring process.
The firm is made up of the founder and three associates. All work remotely, but work closely together. This person would help manage matters day to day, including managing associates. Business development is welcome but not required. There are also no billable hours tracked given they largely do flat fee billing.
It is a widely varied practice, with continual exposure to clients.
A big plus if you have experience in one or more of these areas:
Corporate organization (especially Delaware)
Funding transactions for startups (SAFE, convertible debt, Series A)
Corporate governance (shareholder and Board resolutions)
FinTech contracts (MSAs, SOWs)
Privacy law compliance
Trademarks and copyrights
Blockchain/Cryptocurrency
