The Role: Counsel
As a member of our legal team of the Wormhole Foundation, you will play a crucial role in advising and supporting all business needs of the Wormhole Foundation. Reporting to the General Counsel, you will be the third member of the team and manage a Senior Legal Operations Manager. You will ideally demonstrate superior drafting skills and the ability to work independently, with a proactive approach to developing new agreement templates that meet the evolving needs of the Wormhole Foundation and the Wormhole ecosystem. This role will involve close collaboration with multiple departments.

You will provide proactive legal support to all area of the business and be responsible for the following:

• Draft, review and negotiate a wide range of contracts and agreements, some of which will be the first-of-their kind agreements.
• Develop and maintain contract templates that align with the needs of the Wormhole ecosystem.
• Identify areas for improvement in existing contracts and proactively create new templates when necessary.
• Liaising with internal stakeholders and external legal counsel on cross-functional projects.
• Escalate to the General Counsel where and when needed.
• Horizon scanning the legal/regulatory environment in relation to the blockchain space.
• Ad hoc projects as required according to Wormhole Foundation and ecosystem needs.
• Supervise the legal operations manager to implement and execute on Wormhole Foundation’s internal compliance policies, procedures and programs.

Who you are:

• 3-5 years as a commercial lawyer with a minimum of 1 year in house experience working in an international environment
• You pride yourself on being a rockstar of drafting
• You are commercially aware with in depth in house legal experience
• Strong interest in blockchain/crypto; while experience is preferred, you’ll learn what you need
• High level understanding of OFAC and sanctions
• You enjoy and have experience of working proactively across a range of matters and projects in a fast paced and unstructured environment
• You have excellent communication skills and have experience of developing effective working relationships at senior levels across all functions
• Highly motivated, creative, and results-driven self-starter
• Excited to work in a results-driven work environment.
• Ideally, based in the Americas or European time zones.
