Senior Legal Counsel Corporate Transactional Lawyer Remote

Position summary

As Senior Legal Counsel you will be responsible for advising Bitfury on corporate transactional matters including joint ventures and strategic alliances, private and public fundraising whether through equity or debt, corporate structure and tax considerations, and corporate governance matters.

Duties and responsibilities

  • Negotiate, review and approve of all contracts and other transactions between Bitfury and third parties;
  • Coordinate and supervise legal activities of in-house and outside legal counsel engaged in work representing Bitfury with respect to day-to-day operations of Bitfury and corporate transactions;
  • Advise on global structuring from corporate legal standpoint, including cross border transactions and structuring of legal entities;
  • Guide and supervise setting up corporate presence in new jurisdictions as necessary, including engagement with external parties and governmental authorities, incorporation of legal entities and preparation of all new legal documentation in compliance with local legislation and requirements;
  • Advise management with respect to the legal issues, transactions and strategies of Bitfury;
  • Ensure that all operations of Bitfury are compliant with international/regional/local laws from the commercial point of view;
  • Monitor changes in legislation to ensure ongoing compliance of operations with applicable laws, provide internal recommendations and monitor implementation, where needed;
  • Support on global corporate governance, including but not limited to organizing board meetings, providing legal advice, preparing and reviewing board minutes and resolutions, and supporting the implementation of board decisions;
  • Monitor maintenance of a data room of commercial legal documents for Bitfury and oversee to keep it up to date;
  • Monitor due diligence of new counterparties and/or business transactions (i.e., client, investor, advisor, finder, agent and vendor) and advise Bitfury accordingly;
  • Work with key internal stakeholders in the review of projects and ensure compliance with international/regional laws, and where necessary update policies and T&Cs for Bitfury’s websites and products;
  • Prepare and deliver training and awareness sessions for the employees and consultants on important legal corporate, compliance and governance matters applicable to Bitfury;
  • Monitor performance and provide advice on the implementation of technical and organizational measures in accordance with the GDPR requirements;
  • Develop and maintain company-wide legal reporting and management legal systems;
  • Continuously work to improve the legal processes of Bitfury;
  • Partner across departments and assist in implementation of processes and procedures;
  • Facilitate close teamwork and share knowledge, best practices, and resources within the legal team;
  • Train and develop legal team in relevant skills to enable them to become proficient on the job and deliver the respective function objectives; and
  • Attend to other corporate and governance projects/tasks as assigned.

Requirements

  • 7+ years of working experience in contract and corporate law;
  • Advanced Degree in Law;
  • Working experience in international companies (law firm experience required; in-house experience preferred);
  • Excellent drafting and written and verbal communication skills.
  • Experience in working with cross border transactions, preferably;
  • Experience in revising complex commercial contracts and deals;
  • Readiness to work as a hands-on sole contributor covering a wide range of legal assignments;
  • Self-starter who is capable of operating in a start-up environment;
  • Strong experience working with internal and external stakeholders on controls and compliance relates issues.
