Position Summary: Grayscale Investments is seeking an experienced Paralegal to support the Legal department. The Paralegal will be deeply involved in the full range of legal, regulatory and commercial matters for Grayscale’s growing suite of investment products. Responsibilities:
Understand the priorities, legal and regulatory needs of SEC reporting and non-SEC reporting private placement and public market issuers, including ETFs and ETPs. Assist in organizing, maintaining and tracking disclosure, material contracts and supporting documentation. Assist in preparing annual, quarterly and current reports (i.e., 10-Ks, 10-Qs and 8-Ks). Support the formation, maintenance and management of entities. Assist in the drafting, reviewing, and editing of a variety of formation and operational documents, including certificates, resolutions, operational documents, memoranda and other documentation, as needed. Assist in corporate governance, legal/compliance policies, procedures and memoranda, preparing corporate filings, and tracking authorized signatories and external board memberships. Assist with organizing and maintaining standard commercial agreements and NDAs. Assist firm’s Corporate Secretary in management of public company board of directors and other firm committees, including meeting scheduling, preparing and maintaining charters and minutes, D&O questionnaires, orientation and training. Assist in the development and management of processes for optimizing the legal team’s work and ability to apply legal operations best practices. Provide cross-functional coordination and support on special projects and initiatives. Work with cross-functional teams to build and enhance internal processes to help the company scale. Perform some administrative responsibilities from time-to-time (e.g. scheduling and coordinating meetings, preparing signatures for execution and document management).
Prior Experience/Requirements:
A minimum of 5-7 years’ experience as a paralegal or legal assistance in a big law firm or in-house capital markets, investment management or broad corporate practice. Bachelor’s degree; paralegal certificate (preferred). Experience working in a fast-paced environment with a “no task is too small” mentality. Advanced MS Office skills including MS Word, PowerPoint, and Excel. Strong attention to detail, including mechanical aspects of drafting. Strong organizational skills, including maintenance of checklists, manages/prioritizes workload. Excellent drafting and writing skills. Strong research skills and an inquisitive mindset.
