The Corporate Counsel’s areas of responsibility will focus on: (1) reviewing, drafting and negotiating a wide variety of agreements in support of CoinFlip’s growth; (2) assisting with responses to subpoenas from law enforcement; (3) resolving disputes with (i) CoinFlip customers and (ii) storeowners who have a CoinFlip cryptocurrency ATM in their business; (4) ensuring compliance with CoinFlip’s Consumer Protection Policy; (5) reviewing and approving marketing materials and (6) supporting more senior attorneys on the team.  In working on these areas, the Corporate Counsel will gain an understanding of CoinFlip’s business model and meet relevant stakeholders allowing him/her to gain the knowledge and trust to work on other areas of interest, including, privacy, product development, regulatory issues, licensing, and international expansion. 

Responsibilities:

    • Draft and negotiate a range of agreements in support of business initiatives and employment matters, including non-disclosure agreements, independent contractor agreements, lease agreements with store owners, vendor agreements and general commercial contracts
    • Become familiar with and regularly use Docusign CLM to manage contracts
    • Review, manage, and respond to law enforcement subpoenas/search warrants, including assisting in supervising paralegals/legal analysts that compile initial responses
    • Assist the sales team when negotiating with store owners for the placement of CoinFlip cryptocurrency ATMs in stores
    • Resolve disputes with store owners who have CoinFlip ATMs in their store, including enforcement of non-compete provisions
    • Ensure compliance with CoinFlip’s Consumer Protection Policy and assist in responding to customer complaints
    • Review and approve marketing materials (social media posts, blog posts, press releases, etc.)
    • Perform legal research and draft memoranda to assist Legal team and business partners on various matters, including marketing issues, employment/HR matters, licensing, and regulatory compliance
    • Assist on data privacy and data security matters and support the implementation of related policies and procedures
    • Assist with federal and state licensing (in particular, state money transmitter licenses), regulatory inquiries and examinations
    • Provide support on general corporate matters
    • Track changes to applicable laws, regulations and guidance from state and federal agencies to ensure ongoing compliance
    • Work with business and compliance partners to develop, implement, and improve policies and procedures as the company rapidly grows.

Requirements:

    • 1 or more years of experience at a recognized law firm and/or in-house (preferably in fintech)
    • Experience in contract review and negotiation
    • Bar membership in good standing in Illinois (or eligible to be a Registered-In-House Counsel in Illinois)
    • Law Degree from a top law school
    • General understanding of and interest in cryptocurrency
    • Strong attention to detail
    • Team player
    • Good interpersonal skills

Preferred Skills:

    • Experience and knowledge of regulations for cryptocurrency and fintech companies (experience with state money transmitter licenses a plus)
    • Knowledge and experience with general corporate matters
    • Experience in the responsibility areas listed above
    • GPDR compliance experience a plus

Nice to Have:

    • Experience working for a rapidly growing startup, and managing change
    • Experience in financial services, fintech and/or crypto
    • Bachelors degree in business management or related field
